Koo-Kal
Welcome to Koo-Kal. These Terms of Service ("Terms") form a binding legal agreement between you and Gigz-Econ Inc ("Gigz-Econ," "we," "our," or "us"), a New York corporation with its principal office at 214 W 92nd St, Ste 6C, New York, NY 10025.
These Terms govern your access to and use of the Koo-Kal mobile application (the "App") and any related services, features, and content we provide.
By creating an account, accessing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference.
If you do not agree to these Terms, you may not create an account or use the App.
To use the App, you must be at least 18 years of age and have the legal capacity to enter into a binding contract in the jurisdiction where you reside.
By creating an account, you represent and warrant that you meet these eligibility requirements. If you no longer meet them, you must stop using the App and delete your account.
If you are creating an account or using the App on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.
We reserve the right to refuse or discontinue the App to any person, or to close any account, for any lawful reason, including if a user was previously suspended or removed from the App.
Koo-Kal is a mobile calendar and scheduling application that allows you to:
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on a device you own or control, solely for your own scheduling, coordination, and personal or business use as intended by the App's features.
Koo-Kal is a communication and scheduling tool. It facilitates the exchange of scheduling information between users. It does not:
We may add, modify, suspend, or discontinue any feature of the App at any time, with or without notice, subject to any specific notice requirements in these Terms or applicable law.
To use the App, you must create an account by providing an email address, a password, and a full name and username of your choosing. You agree that the information you provide during registration will be true, accurate, current, and complete, and that you will keep it up to date.
Your username is permanent and cannot be changed after signup.
You may not create more than one account or create an account using a false identity or the identity of another person without their authorization.
You are responsible for maintaining the confidentiality of your account credentials, including your password, and for any activity that occurs under your account. You agree to:
Gigz-Econ is not liable for any loss or damage arising from your failure to comply with these security obligations.
After you create an account, we will send a verification link to the email address you provided. We recommend that you verify your email address by clicking the link. Verification helps confirm that you have access to the email address associated with your account and supports account recovery if you lose access to your credentials.
You agree to use the App only for its intended purposes and in compliance with all applicable laws and these Terms. You agree that you will not, and will not attempt to:
We reserve the right to review, investigate, remove, or restrict any content or activity that we believe violates these Terms, applicable law, or the rights of others. We may suspend or terminate accounts that violate this Section, as described in Section 10 (Termination).
"User Content" means any content you create, upload, submit, or share through the App, including calendar event titles, booking request messages, saved location labels, and any other information you provide.
You retain ownership of your User Content. Gigz-Econ does not claim ownership of any User Content you create.
By creating, uploading, submitting, or sharing User Content through the App, you grant Gigz-Econ a non-exclusive, worldwide, royalty-free license to host, store, display, transmit, and process your User Content solely for the purposes of operating the App and providing you the services described in these Terms. This license is limited to what is necessary to provide the App to you and to your connections, and it terminates when you delete the relevant User Content or your account.
You are solely responsible for your User Content and for the consequences of creating, uploading, submitting, or sharing it. You represent and warrant that:
We have the right, but not the obligation, to review, monitor, remove, or restrict access to any User Content that we believe, in our sole discretion, violates these Terms, applicable law, or the rights of others.
If you provide us with feedback, suggestions, or ideas about the App ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify, and incorporate that Feedback into our products and services without any obligation to you.
The App allows you to connect with other users through the HELP and FAM connection types. This section describes your responsibilities and Gigz-Econ's role in those connections.
Every connection between users requires approval from both parties. You may accept, deny, or block any connection request at any time and for any reason. You are solely responsible for evaluating each connection request before you accept it.
You may change or block an existing connection at any time in the App.
Sending a booking request does not create a scheduled appointment. A booking is scheduled only when the recipient accepts the request. The recipient is under no obligation to accept, and may decline any request for any reason.
Once a booking is accepted, it is a scheduling arrangement between the two users. Gigz-Econ is not a party to that arrangement, does not guarantee that either user will honor it, and is not responsible for any consequence of a missed, canceled, or unsatisfactory appointment.
Your interactions with other users of the App — including your connections, booking requests, communications, and any activities arranged through the App — are solely between you and the other user. Gigz-Econ:
You agree to exercise good judgment and take reasonable safety precautions in your interactions with other users, particularly if you meet in person or share location information.
If another user violates these Terms, engages in threatening or abusive behavior, or otherwise causes you concern, you may:
We will review reports we receive and take action we consider appropriate, which may include suspending or terminating the reported user's account under Section 10 (Termination). We are not obligated to take any specific action, and our decisions on reports are at our sole discretion.
We work to make the App available at all times, but we do not guarantee uninterrupted or error-free operation. The App may be unavailable or degraded due to:
We are not liable for any inability to use the App, missed bookings, delayed notifications, or other consequences of App unavailability.
The delivery of notifications from the App depends on the availability of your device, your notification settings, your network connection, and third-party notification services (including Apple Push Notification Service). We do not guarantee that any notification will be delivered, delivered on time, or received by you.
You should not rely solely on notifications from the App to remember or attend a booking or appointment. You are responsible for confirming and remembering your own scheduled events.
When the App displays travel time estimates, availability information, or other scheduling details, these are provided for your convenience and may not be accurate at all times. Travel time estimates depend on Apple's MapKit services and on current traffic and routing data. You are responsible for confirming that the details of any booking meet your needs before you rely on them.
As described in Section 7.3, we do not guarantee that a user will accept a booking request, honor an accepted booking, or attend at the agreed time. Any dispute about a missed, canceled, or unsatisfactory booking is between you and the other user.
The App is currently offered free of charge. We may introduce advertising within the App to support its operation.
If we introduce advertising, we will display ads only in specific, low-focus locations within the App, such as the bottom of the People list, the bottom of the Requests list, in Settings, and after you complete an action. We do not display ads on your calendar or on another user's profile.
We may change the type, placement, or frequency of advertising in the App from time to time. If we introduce paid tiers or subscription options that remove or reduce advertising, the terms of any such offering will be presented to you at the time of subscription.
You may stop using the App and delete your account at any time. To delete your account, follow the process described in Section 6 of our Privacy Policy.
We may suspend, restrict, or terminate your account and access to the App at any time, with or without notice, if we believe in good faith that:
Where feasible and not prohibited by law or the circumstances, we will notify you of a suspension or termination and provide a general reason.
When your account is terminated (whether by you or by us):
The App is currently offered free of charge, so no refund is due upon termination. If we introduce paid tiers or subscription options in the future, refund policies for those offerings will be described at the time of subscription.
THE APP AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
To the fullest extent permitted by applicable law, Gigz-Econ Inc, its affiliates, and their respective directors, officers, employees, and service providers disclaim all warranties, including but not limited to:
Information provided by the App, including travel time estimates, notifications, and calendar displays, is provided for informational purposes only and does not constitute professional advice. You should not rely on the App as your sole source for any scheduling, travel, or other decision that has significant consequences.
The App relies on services provided by third parties, including Firebase (Google Cloud) and Apple. We are not responsible for the acts, omissions, availability, or accuracy of any third-party service. Your use of any third-party service accessed through the App is subject to the terms and privacy practices of that third party.
Some jurisdictions do not allow the disclaimer of certain warranties or the limitation of implied warranties. In those jurisdictions, some of the disclaimers in this Section may not apply to you, and you may have additional rights under applicable law.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GIGZ-ECON INC, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00), OR (B) THE TOTAL AMOUNT YOU PAID TO GIGZ-ECON IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You acknowledge that the limitations of liability in this Section are an essential basis of the bargain between you and Gigz-Econ, and that we would not be able to provide the App on an economically reasonable basis without these limitations. The limitations apply even if a limited remedy fails of its essential purpose.
The limitations in this Section do not apply to (a) our willful misconduct or gross negligence, (b) death or personal injury caused by our negligence to the extent such limitation is not permitted by applicable law, or (c) any liability that cannot be excluded or limited under applicable law.
Some jurisdictions do not allow the limitation of liability for certain types of damages. In those jurisdictions, our liability will be limited to the fullest extent permitted by applicable law.
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Gigz-Econ Inc, its affiliates, and their respective directors, officers, employees, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that matter. You will not settle any matter that would impose obligations on Gigz-Econ or admit fault on our behalf without our prior written consent.
This indemnification does not apply to claims arising from our own gross negligence, willful misconduct, or any liability that cannot be excluded or limited under applicable law.
This Section survives termination of these Terms.
These Terms and any dispute arising out of or related to these Terms or the App will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Before filing a formal legal action, you agree to first contact us at admin@gigzecon.com with a description of your claim, your desired resolution, and any supporting information. We will review your claim in good faith and attempt to resolve it with you. If we cannot resolve the dispute informally within thirty (30) days after we receive your notice, either party may proceed with a formal legal action.
Any formal legal action arising out of or related to these Terms or the App must be brought exclusively in the state or federal courts located in New York County, New York. You and Gigz-Econ each consent to the personal jurisdiction of those courts and waive any objection based on venue or forum non conveniens.
Nothing in this Section prevents either party from seeking injunctive or equitable relief in an appropriate court for the protection of intellectual property or other legal rights that would suffer irreparable harm before a formal legal action could be resolved.
To the extent permitted by applicable law, any claim arising out of or related to these Terms or the App must be filed within one (1) year after the claim first arose. Claims filed after this period are permanently barred.
We may update these Terms from time to time to reflect changes in the App, our practices, applicable law, or for other operational reasons.
When we update these Terms, we will update the "Last Updated" date at the top and, if the changes are material, provide additional notice — for example, by prominently displaying a notice in the App or by emailing the address associated with your account — at least thirty (30) days before the changes take effect (or a shorter period if required by law).
If you continue to use the App after the effective date of the updated Terms, you will be considered to have accepted the updated Terms. If you do not agree to the updated Terms, you must stop using the App and may delete your account before the effective date.
Non-material changes (for example, clarifications, typographical corrections, or updates to contact information) may take effect immediately upon posting.
These Terms, together with the Privacy Policy and any other policies or notices referenced in them, constitute the entire agreement between you and Gigz-Econ regarding your use of the App and supersede all prior agreements, understandings, and communications between you and Gigz-Econ on that subject.
If any provision of these Terms is held to be invalid, illegal, or unenforceable in any jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it will be severed from these Terms. The remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Gigz-Econ.
You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
You and Gigz-Econ are independent parties. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and Gigz-Econ.
We will not be liable for any failure or delay in performing our obligations under these Terms to the extent that the failure or delay is caused by circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, government action, labor disputes, power failures, or failures of the internet or third-party services.
If you have downloaded the App from the Apple App Store, the following additional terms apply between you and Apple:
These Terms are prepared in English, which is the controlling language for their interpretation. Any translations are provided for convenience only.
Section headings in these Terms are for convenience only and do not affect the interpretation of any provision.
Except as expressly provided in Section 16.7 (Apple), no third party has any rights under these Terms.
